The GAIRC Bylaws of Association (Global AI Research Council) function as the formal constitution that governs its relationship with its members & institutions. These bylaws ensure that the Council remains a balanced, meritocratic, and ethically driven body rather than a standard corporate entity.

📜 Key Articles of Association

Article 1: Membership Admission & Eligibility

• Admission: Membership is not a right but a privilege granted by the Executive Committee. Applicants must submit written evidence of their research impact.
• Overrule Clause: If the Committee denies an applicant, the General Assembly has the power to overrule the decision upon a formal appeal.
• Termination: Membership can be terminated via written withdrawal, decease, or Expulsion. Expulsion is only legal for “serious reasons” (e.g., ethics violations) and requires a unanimous vote by the Committee.

Article 2: Governance & The Committee

• Composition: The Committee consists of a Chairman, Executive Committee, the Secretariat and 3–5 Advisory members.
• Term of Office: Members are elected by the General Assembly for a two-year term.
• Decision Making: The Committee operates on a simple majority basis. For urgent matters, they act on behalf of the broader Board of Directors.

Article 3: The General Assembly

• Voting Rights: Every member and legal entity (accredited lab) holds one vote.
• Quorum: The Assembly can pass valid decisions if at least ten members are present.
• The Board of Trustees: The Assembly may form a Board of Trustees to provide high-level strategic advice and candidate nominations for future Committee seats.

The bylaws also dictate the operational “rules of the game” to ensure the Council’s sustainability:

The GAIRC bylaws are specifically designed to prevent “Centralized Capture.” By allowing the General Assembly (the members) to overrule the Committee and elect the Board of Trustees, the Council remains a community-governed body.
